data-end=\"1069\"><strong data-start=\"980\" data-end=\"991\">Defects<\/strong>: shortcomings causing the Deliverables not to meet the agreed requirements.<\/p><\/li><\/ul><hr data-start=\"1071\" data-end=\"1074\" \/><h1 data-start=\"1076\" data-end=\"1103\">Article 2 \u2013 Applicability<\/h1><ul data-start=\"1105\" data-end=\"1395\"><li data-start=\"1105\" data-end=\"1216\"><p data-start=\"1107\" data-end=\"1216\">Applies to all quotations, assignments, activities, and deliveries by or on behalf of the Service Provider.<\/p><\/li><li data-start=\"1217\" data-end=\"1272\"><p data-end=\"1480\">14 days<\/strong>, unless stated otherwise.<\/p><\/li><li data-start=\"1509\" data-end=\"1572\"><p data-start=\"1511\" data-end=\"1572\">Offers do not automatically apply to follow-up assignments.<\/p><\/li><li data-start=\"1573\" data-end=\"1685\"><p data-start=\"1575\" data-end=\"1610\">The assignment starts only after:<\/p><ul data-start=\"1613\" data-end=\"1685\"><li data-end=\"1800\"><p data-start=\"1688\" data-end=\"1800\">Lead times stated in quotations are indicative (non-fatal) and depend on timely input\/decisions by the Client.<\/p><\/li><\/ul><hr data-start=\"1802\" data-end=\"1805\" \/><h1 data-start=\"1807\" data-end=\"1839\">Article 4 \u2013 Prices and Payment<\/h1><ul data-start=\"1841\" data-end=\"2605\"><li data-start=\"1841\" data-end=\"1871\"><p data-start=\"1843\" data-end=\"1871\">All rates <strong data-start=\"1853\" data-end=\"1868\">exclude VAT<\/strong>.<\/p><\/li><li data-start=\"1872\" data-end=\"1920\"><p data-start=\"1874\" data-end=\"1920\"><strong data-start=\"1874\" data-end=\"1890\">Payment term<\/strong>: 14 days from invoice date.<\/p><\/li><li data-start=\"1921\" data-end=\"1963\"><p go-live<\/strong>.<\/p><\/li><\/ul><\/li><li data-start=\"2123\" data-end=\"2224\"><p data-start=\"2125\" data-end=\"2224\">Client\u2019s bankruptcy or suspension of payments: all claims become immediately <strong data-start=\"2202\" data-end=\"2221\">due and payable<\/strong>.<\/p><\/li><li data-start=\"2225\" data-end=\"2297\"><p data-start=\"2227\" data-end=\"2297\">Collection\/interest\/damage costs are fully for the Client\u2019s account.<\/p><\/li><li data-start=\"2298\" data-end=\"2391\"><p data-start=\"2300\" data-end=\"2317\"><strong data-start=\"2300\" data-end=\"2314\">Indexation<\/strong>:<\/p><ul data-start=\"2320\" data-end=\"2391\"><li data-start=\"2320\" data-end=\"2391\"><p data-start=\"2322\" data-end=\"2391\">as of <strong data-start=\"2328\" data-end=\"2341\">1 January<\/strong> annually (<strong data-start=\"2352\" data-end=\"2380\">at least 2 months\u2019 prior<\/strong> notice).<\/p><\/li><\/ul><\/li><li data-start=\"2392\" data-end=\"2456\"><p data-start=\"2394\" data-end=\"2456\"><strong data-start=\"2394\" data-end=\"2434\">Suspension by the Client is excluded<\/strong> (see also Art. 20).<\/p><\/li><li data-start=\"2457\" data-end=\"2605\"><p data-start=\"2459\" data-end=\"2605\"><strong data-start=\"2459\" data-end=\"2492\">Schedule impact of suspension<\/strong>: if work is suspended due to default, the schedule is automatically extended by the number of suspension days.<\/p><\/li><\/ul><hr data-start=\"2607\" data-end=\"2610\" \/><h1 data-start=\"2612\" data-end=\"2675\">Article 5 \u2013 Information Provision (Submission Specifications)<\/h1><ul data-start=\"2677\" data-end=\"3121\"><li data-start=\"2677\" data-end=\"2827\"><p data-start=\"2679\" data-end=\"2827\">The Client provides all required information, access, and materials <strong data-start=\"2747\" data-end=\"2770\">timely and complete<\/strong>, in accordance with the <strong data-start=\"2795\" data-end=\"2824\">Submission Specifications<\/strong>.<\/p><\/li><li data-start=\"2828\" data-end=\"2977\"><p data-start=\"2830\" data-end=\"2869\">In case of late\/incomplete provision:<\/p><ul data-start=\"2872\" data-end=\"2977\"><li data-start=\"2872\" data-end=\"2925\"><p data-start=\"2874\" data-end=\"2925\">the Service Provider may <strong data-start=\"2899\" data-end=\"2910\">suspend<\/strong> performance,<\/p><\/li><li data-start=\"2928\" data-end=\"2977\"><p data-start=\"2930\" data-end=\"2977\"><strong data-start=\"2930\" data-end=\"2950\">additional costs<\/strong> are borne by the Client.<\/p><\/li><\/ul><\/li><li data-start=\"2978\" data-end=\"3057\"><p data-start=\"2980\" data-end=\"3057\">The Client warrants the <strong data-start=\"3004\" data-end=\"3033\">accuracy and completeness<\/strong> of all data provided.<\/p><\/li><li data-start=\"3058\" data-end=\"3121\"><p data-start=\"3060\" data-end=\"3121\">Submission Specifications are shared prior to each project.<\/p><\/li><\/ul><hr data-start=\"3123\" data-end=\"3126\" \/><h1 data-start=\"3128\" data-end=\"3173\">Article 6 \u2013 Performance and Additional Work<\/h1><ul data-start=\"3175\" data-end=\"3454\"><li data-start=\"3175\" data-end=\"3268\"><p data-start=\"3177\" data-end=\"3268\">The Service Provider performs assignments with due care and may engage <strong data-start=\"3248\" data-end=\"3265\">third parties<\/strong>.<\/p><\/li><li data-start=\"3269\" data-end=\"3359\"><p data-start=\"3271\" data-end=\"3359\">Deadlines are indicative (non-fatal), unless expressly agreed as fatal <strong data-start=\"3342\" data-end=\"3356\">in writing<\/strong>.<\/p><\/li><li data-start=\"3360\" data-end=\"3454\"><p data-start=\"3362\" data-end=\"3454\">Additional Work only after <strong data-start=\"3389\" data-end=\"3400\">written<\/strong> confirmation, billed at the applicable hourly rate.<\/p><\/li><\/ul><hr data-start=\"3456\" data-end=\"3459\" \/><h1 data-start=\"3461\" data-end=\"3516\">Article 7 \u2013 Phased Delivery, Feedback, and Acceptance<\/h1><p data-start=\"3518\" data-end=\"3539\"><strong data-start=\"3518\" data-end=\"3537\">Standard phases<\/strong><\/p><ul data-start=\"3540\" data-end=\"3742\"><li data-start=\"3540\" data-end=\"3588\"><p data-start=\"3542\" data-end=\"3588\"><strong data-start=\"3542\" data-end=\"3564\">Phase 1 the Client must arrange replacements.<\/p><\/li><li data-start=\"11818\" data-end=\"11928\"><p data-start=\"11820\" data-end=\"11928\">The Service Provider is not liable for <strong data-start=\"11859\" data-end=\"11904\">malfunctions, updates, or security issues<\/strong> in third-party tools.<\/p><\/li><\/ul><hr data-start=\"11930\" data-end=\"11933\" \/><h1 data-start=\"11935\" data-end=\"11980\">Article 19 \u2013 Portfolio, Credits &amp; Promotion<\/h1><ul data-start=\"11982\" data-end=\"12530\"><li data-start=\"11982\" data-end=\"12144\"><p data-start=\"11984\" data-end=\"12144\">The Service Provider may use the Client\u2019s <strong data-start=\"12026\" data-end=\"12039\">name\/logo<\/strong>, <strong data-start=\"12041\" data-end=\"12056\">screenshots<\/strong>, and <strong data-start=\"12062\" data-end=\"12080\">case materials<\/strong> in its portfolio, presentations, social media, and marketing.<\/p><\/li><li data-start=\"12145\" data-end=\"12281\"><p data-start=\"12147\" data-end=\"12281\">The website footer will by default state: <strong data-start=\"12189\" data-end=\"12222\">\u201cWeb design by Online Heroes\u201d<\/strong> (with backlink), unless agreed <strong data-start=\"12254\" data-end=\"12268\">in writing<\/strong> otherwise.<\/p><\/li><li data-start=\"12282\" data-end=\"12530\"><p data-start=\"12284\" data-end=\"12530\"><strong data-start=\"12284\" data-end=\"12335\">Promotional commitment with discount (optional)<\/strong>: where a <strong data-start=\"12345\" data-end=\"12357\">discount<\/strong> is agreed, after delivery the Client will post <strong data-start=\"12405\" data-end=\"12439\">at least 1 Instagram feed post<\/strong>, <strong data-start=\"12441\" data-end=\"12461\">multiple stories<\/strong>, and <strong data-start=\"12467\" data-end=\"12486\">1 LinkedIn post<\/strong>, mentioning\/tagging the Service Provider.<\/p><\/li><\/ul><hr data-start=\"12532\" data-end=\"12535\" \/><h1 data-start=\"12537\" data-end=\"12579\">Article 20 \u2013 Client Suspension &amp; Set-off<\/h1><ul data-start=\"12581\" data-end=\"12774\"><li data-start=\"12581\" data-end=\"12630\"><p data-start=\"12583\" data-end=\"12630\"><strong data-start=\"12583\" data-end=\"12597\">Suspension<\/strong> by the Client is <strong data-start=\"12615\" data-end=\"12627\">excluded<\/strong>.<\/p><\/li><li data-start=\"12631\" data-end=\"12685\"><p data-start=\"12633\" data-end=\"12685\"><strong data-start=\"12633\" data-end=\"12644\">Set-off<\/strong> against counterclaims is <strong data-start=\"12670\" data-end=\"12682\">excluded<\/strong>.<\/p><\/li><li data-start=\"12686\" data-end=\"12774\"><p data-start=\"12688\" data-end=\"12774\">This is without prejudice to the Service Provider\u2019s right to suspend (Arts. 4 &amp; 13).<\/p><\/li><\/ul><hr data-start=\"12776\" data-end=\"12779\" \/><h1 data-start=\"12781\" data-end=\"12816\">Article 21 \u2013 Assignment of Rights<\/h1><ul data-start=\"12818\" data-end=\"13002\"><li data-start=\"12818\" data-end=\"12931\"><p data-start=\"12820\" data-end=\"12931\">Assignment of <strong data-start=\"12834\" data-end=\"12856\">rights\/obligations<\/strong> by the Client requires the Service Provider\u2019s <strong data-start=\"12903\" data-end=\"12928\">prior written consent<\/strong>.<\/p><\/li><li data-start=\"12932\" data-end=\"13002\"><p data-start=\"12934\" data-end=\"13002\">The Service Provider may engage <strong data-start=\"12966\" data-end=\"12983\">third parties<\/strong> for performance.<\/p><\/li><\/ul><hr data-start=\"13004\" data-end=\"13007\" \/><h1 data-start=\"13009\" data-end=\"13049\">Article 22 \u2013 Items On-Site &amp; Insurance<\/h1><ul data-start=\"13051\" data-end=\"13375\"><li data-start=\"13051\" data-end=\"13189\"><p data-start=\"13053\" data-end=\"13189\">Items\/materials of the Service Provider at the Client\u2019s premises must be <strong data-start=\"13126\" data-end=\"13146\">properly insured<\/strong> by the Client against loss\/theft\/damage.<\/p><\/li><li data-start=\"13190\" data-end=\"13274\"><p data-start=\"13192\" data-end=\"13274\">The <strong data-start=\"13196\" data-end=\"13206\">policy<\/strong> and terms will be made available for <strong data-start=\"13244\" data-end=\"13258\">inspection<\/strong> upon request.<\/p><\/li><li data-start=\"13275\" data-end=\"13375\"><p data-start=\"13277\" data-end=\"13375\">Damage to the Service Provider\u2019s items on the Client\u2019s premises is for the <strong data-start=\"13352\" data-end=\"13372\">Client\u2019s account<\/strong>.<\/p><\/li><\/ul><hr data-start=\"13377\" data-end=\"13380\" \/><h1 data-start=\"13382\" data-end=\"13433\">Article 23 \u2013 Electronic Communication &amp; Signature<\/h1><ul data-start=\"13435\" data-end=\"13585\"><li data-start=\"13435\" data-end=\"13536\"><p data-start=\"13437\" data-end=\"13536\"><strong data-start=\"13437\" data-end=\"13462\">Electronic signatures<\/strong> (eIDAS) are <strong data-start=\"13475\" data-end=\"13492\">legally valid<\/strong> and equivalent to handwritten signatures.<\/p><\/li><li data-start=\"13537\" data-end=\"13585\"><p data-start=\"13539\" data-end=\"13585\">Notices by <strong data-start=\"13550\" data-end=\"13559\">email<\/strong> are deemed <strong data-start=\"13571\" data-end=\"13582\">written<\/strong>.<\/p><\/li><\/ul><hr data-start=\"13587\" data-end=\"13590\" \/><h1 data-start=\"13592\" data-end=\"13620\">Article 24 \u2013 Force Majeure<\/h1><ul data-start=\"13622\" data-end=\"13946\"><li data-start=\"13622\" data-end=\"13778\"><p data-start=\"13624\" data-end=\"13778\">Force majeure includes: <strong data-start=\"13648\" data-end=\"13744\">natural disasters, fire, pandemics, strikes, network\/datacentre outages, government measures<\/strong>, and failures by third parties.<\/p><\/li><li data-start=\"13779\" data-end=\"13846\"><p data-start=\"13781\" data-end=\"13846\">Obligations are <strong data-start=\"13797\" data-end=\"13822\">temporarily suspended<\/strong> during force majeure.<\/p><\/li><li data-start=\"13847\" data-end=\"13946\"><p data-start=\"13849\" data-end=\"13946\">If force majeure lasts <strong data-start=\"13872\" data-end=\"13893\">more than 30 days<\/strong>, either party may <strong data-start=\"13912\" data-end=\"13943\">terminate without liability<\/strong>.<\/p><\/li><\/ul><hr data-start=\"13948\" data-end=\"13951\" \/><h1 data-start=\"13953\" data-end=\"13979\">Article 25 \u2013 Termination<\/h1><ul data-start=\"13981\" data-end=\"14448\"><li data-start=\"13981\" data-end=\"14119\"><p data-start=\"13983\" data-end=\"14119\">The Client may terminate <strong data-start=\"14008\" data-end=\"14022\">in writing<\/strong> at any time; settlement <strong data-start=\"14047\" data-end=\"14059\">pro rata<\/strong> progress, with a <strong data-start=\"14077\" data-end=\"14095\">minimum of 50%<\/strong> of the agreed amount.<\/p><\/li><li data-start=\"14120\" data-end=\"14254\"><p data-start=\"14122\" data-end=\"14254\">Mid-term termination for <strong data-start=\"14147\" data-end=\"14166\">material breach<\/strong> that is not cured within a <strong data-start=\"14194\" data-end=\"14215\">reasonable period<\/strong> after <strong data-start=\"14222\" data-end=\"14251\">written notice of default<\/strong>.<\/p><\/li><li data-start=\"14255\" data-end=\"14448\"><p data-start=\"14257\" data-end=\"14448\">Termination of hosting: the Client is <strong data-start=\"14295\" data-end=\"14317\">solely responsible<\/strong> for timely <strong data-start=\"14329\" data-end=\"14354\">downloading\/migrating<\/strong> data\/emails\/backups; after termination the Service Provider is not required to retain data.<\/p><\/li><\/ul><hr data-start=\"14450\" data-end=\"14453\" \/><h1 data-start=\"14455\" data-end=\"14495\">Article 26 \u2013 Amendments to These Terms<\/h1><ul data-start=\"14497\" data-end=\"14659\"><li data-start=\"14497\" data-end=\"14659\"><p data-start=\"14499\" data-end=\"14548\">The Service Provider may <strong data-start=\"14524\" data-end=\"14533\">amend<\/strong> these Terms:<\/p><ul data-start=\"14551\" data-end=\"14659\"><li data-start=\"14551\" data-end=\"14601\"><p data-start=\"14553\" data-end=\"14601\"><strong data-start=\"14553\" data-end=\"14562\">minor<\/strong> changes \u2192 <strong data-start=\"14573\" data-end=\"14598\">effective immediately<\/strong>;<\/p><\/li><li data-start=\"14604\" data-end=\"14659\"><p data-start=\"14606\" data-end=\"14659\"><strong data-start=\"14606\" data-end=\"14618\">material<\/strong> changes \u2192 <strong data-start=\"14629\" data-end=\"14656\">communicated in advance<\/strong>.<\/p><\/li><\/ul><\/li><\/ul><hr data-start=\"14661\" data-end=\"14664\" \/><h1 data-start=\"14666\" data-end=\"14709\">Article 27 \u2013 Governing Law &amp;
