Article 1 \u2013 Definitions<\/h1>

  • Service Provider<\/strong>: Online Heroes, Chamber of Commerce (KvK) 87624567, Breda.<\/p><\/li>

  • Client<\/strong>: the natural or legal person that enters into an agreement with the Service Provider.<\/p><\/li>

  • Agreement<\/strong>: any written or oral agreement, including quotations, SLAs, annexes, and project proposals.<\/p><\/li>

  • Assignment<\/strong>: the agreed services (design, development, hosting, maintenance, marketing, etc.).<\/p><\/li>

  • Deliverables<\/strong>: all creations delivered by the Service Provider (designs, code, visuals, content, configurations).<\/p><\/li>

  • SLA<\/strong>: service level arrangements concerning hosting\/maintenance.<\/p><\/li>

  • Business Day<\/strong>: Monday to Friday, excluding official public holidays.<\/p><\/li>

  • Additional Work<\/strong>: work outside the original scope.<\/p><\/li>

  • Feedback Round<\/strong>: an agreed period during which the Client provides bundled and unambiguous corrections.<\/p><\/li>

  • Delivery<\/strong>: written confirmation that (a phase of) the work is ready for review.<\/p><\/li>

  • Defects<\/strong>: shortcomings causing the Deliverables not to meet the agreed requirements.<\/p><\/li><\/ul>

    Article 2 \u2013 Applicability<\/h1>

    • Applies to all quotations, assignments, activities, and deliveries by or on behalf of the Service Provider.<\/p><\/li>

    • Deviations are only valid if agreed in writing<\/strong>.<\/p><\/li>

    • The Service Provider has an obligation of best efforts<\/strong>, unless a result obligation has been agreed in writing<\/strong>.<\/p><\/li><\/ul>

      Article 3 \u2013 Quotations and Formation<\/h1>

      • Quotations are valid for 14 days<\/strong>, unless stated otherwise.<\/p><\/li>

      • Offers do not automatically apply to follow-up assignments.<\/p><\/li>

      • The assignment starts only after:<\/p>

        • written acceptance<\/strong>, and<\/p><\/li>

        • receipt of the (down) payment<\/strong>.<\/p><\/li><\/ul><\/li>

        • Lead times stated in quotations are indicative (non-fatal) and depend on timely input\/decisions by the Client.<\/p><\/li><\/ul>

          Article 4 \u2013 Prices and Payment<\/h1>

          • All rates exclude VAT<\/strong>.<\/p><\/li>

          • Payment term<\/strong>: 14 days from invoice date.<\/p><\/li>

          • Payment without suspension or set-off.<\/p><\/li>

          • In case of non-payment (default), the Service Provider may:<\/p>

            • suspend<\/strong> work,<\/p><\/li>

            • block access<\/strong> to hosting\/staging,<\/p><\/li>

            • postpone go-live<\/strong>.<\/p><\/li><\/ul><\/li>

            • Client\u2019s bankruptcy or suspension of payments: all claims become immediately due and payable<\/strong>.<\/p><\/li>

            • Collection\/interest\/damage costs are fully for the Client\u2019s account.<\/p><\/li>

            • Indexation<\/strong>:<\/p>

              • as of 1 January<\/strong> annually (at least 2 months\u2019 prior<\/strong> notice).<\/p><\/li><\/ul><\/li>

              • Suspension by the Client is excluded<\/strong> (see also Art. 20).<\/p><\/li>

              • Schedule impact of suspension<\/strong>: if work is suspended due to default, the schedule is automatically extended by the number of suspension days.<\/p><\/li><\/ul>

                Article 5 \u2013 Information Provision (Submission Specifications)<\/h1>

                • The Client provides all required information, access, and materials timely and complete<\/strong>, in accordance with the Submission Specifications<\/strong>.<\/p><\/li>

                • In case of late\/incomplete provision:<\/p>

                  • the Service Provider may suspend<\/strong> performance,<\/p><\/li>

                  • additional costs<\/strong> are borne by the Client.<\/p><\/li><\/ul><\/li>

                  • The Client warrants the accuracy and completeness<\/strong> of all data provided.<\/p><\/li>

                  • Submission Specifications are shared prior to each project.<\/p><\/li><\/ul>

                    Article 6 \u2013 Performance and Additional Work<\/h1>

                    • The Service Provider performs assignments with due care and may engage third parties<\/strong>.<\/p><\/li>

                    • Deadlines are indicative (non-fatal), unless expressly agreed as fatal in writing<\/strong>.<\/p><\/li>

                    • Additional Work only after written<\/strong> confirmation, billed at the applicable hourly rate.<\/p><\/li><\/ul>

                      Article 7 \u2013 Phased Delivery, Feedback, and Acceptance<\/h1>

                      Standard phases<\/strong><\/p>

                      • Phase 1 \u2013 Homepage<\/strong>: delivery and review.<\/p><\/li>

                      • Phase 2 \u2013 Remaining pages & design layouts<\/strong>: delivery and review.<\/p><\/li>

                      • Phase 3 \u2013 Full website incl. content\/functionality<\/strong>: delivery and review.<\/p><\/li><\/ul>

                        Target timeframes (non-fatal; dependent on timely input)<\/strong><\/p>

                        • Homepage<\/strong>: within 5 Business Days<\/strong> after complete input and (down) payment.<\/p><\/li>

                        • Contact\/About<\/strong> (or first 2 subpages): within 8 Business Days<\/strong> after approval\/feedback on the homepage.<\/p><\/li>

                        • Other unique new pages (design)<\/strong>: 1 Business Day per unique page<\/strong> after design approval.
                          (Indicative; delays caused by late input\/feedback extend the schedule proportionally.)<\/em><\/p><\/li><\/ul>

                          Feedback per phase<\/strong><\/p>

                          • One (1) feedback round per phase<\/strong>.<\/p><\/li>

                          • Feedback must be:<\/p>

                            • bundled and unambiguous<\/strong>,<\/p><\/li>

                            • submitted in one<\/strong> document\/email per round.<\/p><\/li><\/ul><\/li>

                            • Conflicting<\/strong> or additional<\/strong> feedback outside the round = Additional Work<\/strong>.<\/p><\/li>

                            • Optional: a progress sheet<\/strong> (e.g., Google Sheet) for interim review.<\/p><\/li><\/ul>

                              Delivery & acceptance<\/strong><\/p>

                              • The Service Provider notifies in writing<\/strong> when a phase is ready.<\/p><\/li>

                              • Acceptance period per phase<\/strong>: 15 Business Days<\/strong>.<\/p><\/li>

                              • No response within this period = automatic acceptance<\/strong>.<\/p><\/li>

                              • No\/late content or input:<\/p>

                                • the Service Provider may deliver and invoice<\/strong> the phase,<\/p><\/li>

                                • remaining feedback can be processed at no additional cost<\/strong> later, provided it complies with the agreements and is submitted within a reasonable period.<\/p><\/li><\/ul><\/li>

                                • Latent defects<\/strong>: remedied free of charge within a reasonable period, insofar as not caused by changes<\/strong> made by the Client\/third parties.<\/p><\/li><\/ul>

                                  Article 8 \u2013 Managed Hosting & SLA<\/h1>

                                  Services<\/strong><\/p>

                                  • 99.9% uptime<\/strong><\/p><\/li>

                                  • Daily backups<\/strong> (7 days)<\/p><\/li>

                                  • Weekly backups<\/strong> (7 weeks)<\/p><\/li>

                                  • CDN & NVMe storage<\/strong><\/p><\/li>

                                  • Staging environment<\/strong><\/p><\/li>

                                  • Object caching<\/strong><\/p><\/li>

                                  • DDoS protection<\/strong><\/p><\/li>

                                  • 1GB email storage<\/strong> (expandable)<\/p><\/li>

                                  • Optional email integration<\/strong> (e.g., Microsoft 365\/Outlook)<\/p><\/li><\/ul>

                                    Service levels<\/strong><\/p>

                                    • Uptime: 99.9%<\/strong> per month<\/p><\/li>

                                    • Incident response:<\/p>

                                      • 3h<\/strong> (Business Days 09:00\u201317:00)<\/p><\/li>

                                      • 5h<\/strong> (Business Days until 20:00)<\/p><\/li>

                                      • 24h<\/strong> (weekend)<\/p><\/li><\/ul><\/li>

                                      • Resolution time: max. 48h<\/strong>, unless third-party dependency prevents it<\/p><\/li><\/ul>

                                        Maintenance windows<\/strong><\/p>

                                        • Minor maintenance<\/strong>: ongoing.<\/p><\/li>

                                        • Major maintenance<\/strong>: at least 5 Business Days\u2019<\/strong> notice; preferably overnight\/weekend<\/strong>.<\/p><\/li><\/ul>

                                          Service Provider obligations<\/strong><\/p>

                                          • Hosting, updates, and maintenance of WordPress<\/strong>, themes, and plugins<\/p><\/li>

                                          • Security and remediation of technical issues<\/p><\/li><\/ul>

                                            Client obligations<\/strong><\/p>

                                            • No uncoordinated backend changes<\/strong><\/p><\/li>

                                            • Allowed: Elementor<\/strong> edits, media, pages, posts<\/p><\/li>

                                            • Damage due to improper use \u2192 remediation at standard<\/strong> or expedite<\/strong> rate<\/p><\/li><\/ul>

                                              Invoicing & payment<\/strong><\/p>

                                              • Annually or monthly, as per quotation<\/p><\/li>

                                              • Payment term: 14 days<\/strong><\/p><\/li>

                                              • In case of non-payment: suspension<\/strong> of hosting\/access<\/p><\/li><\/ul>

                                                Communication & escalation<\/strong><\/p>

                                                • Via email<\/strong> or WhatsApp group<\/strong><\/p><\/li>

                                                • Escalations: by email (\u201cSLA Escalation<\/strong>\u201d) or by phone<\/strong> via designated contacts<\/p><\/li><\/ul>

                                                  Liability (hosting)<\/strong><\/p>

                                                  • Limited to direct damages<\/strong><\/p><\/li>

                                                  • Max. 3 months<\/strong> of hosting fees per calendar year<\/p><\/li><\/ul>

                                                    Term & termination (hosting)<\/strong><\/p>

                                                    • Minimum term: 1 year<\/strong><\/p><\/li>

                                                    • Thereafter renewed monthly<\/strong><\/p><\/li>

                                                    • Notice<\/strong>: 1 month<\/strong> before renewal date<\/p><\/li>

                                                    • Mid-term termination by the Client in case of repeated SLA breach<\/strong>: possible after written notice of default<\/strong> and a reasonable cure period<\/strong> (if unresolved).<\/p><\/li><\/ul>

                                                      Article 9 \u2013 Maintenance & Support (non-hosting)<\/h1>

                                                      • Any maintenance\/support subscriptions<\/strong> (e.g., Heldensupport):<\/p>

                                                        • coverage and response times as specified in the quotation<\/strong>;<\/p><\/li>

                                                        • notice period<\/strong>: 1 full calendar month<\/strong>.<\/p><\/li><\/ul><\/li>

                                                        • Support requests<\/strong> outside scope\/SLA (how-to\u2019s, content assistance) are billed at the hourly rate<\/strong>.<\/p><\/li><\/ul>

                                                          Article 10 \u2013 Complaints and Defects<\/h1>

                                                          • Complaints<\/strong>: report in writing<\/strong> within 7 days<\/strong> after discovery.<\/p><\/li>

                                                          • Complaints do not<\/strong> suspend the payment<\/strong> obligation.<\/p><\/li>

                                                          • Defects<\/strong> during the acceptance period: remedied within a reasonable period<\/strong>.<\/p><\/li><\/ul>

                                                            Article 11 \u2013 Limitation Periods<\/h1>

                                                            • All claims against the Service Provider expire\/lapse after 12 months<\/strong> from the event on which the claim is based.<\/p><\/li><\/ul>

                                                              Article 12 \u2013 Liability<\/h1>

                                                              • The Service Provider is only liable in case of:<\/p>

                                                                • wilful misconduct<\/strong>, or<\/p><\/li>

                                                                • gross negligence<\/strong>.<\/p><\/li><\/ul><\/li>

                                                                • Limitation:<\/p>

                                                                  • max. the invoice amount<\/strong> of the relevant part of the assignment, or<\/p><\/li>

                                                                  • max. 3 months of hosting fees<\/strong> (for hosting services).<\/p><\/li><\/ul><\/li>

                                                                  • No liability for indirect damage<\/strong>: loss of turnover\/profit, reputational damage, data loss, third-party claims.<\/p><\/li>

                                                                  • No result guarantee<\/strong> for SEO\/marketing\/PageSpeed (external factors apply).<\/p><\/li>

                                                                  • Without maintenance\/hosting by the Service Provider: after delivery the Client is fully responsible<\/strong> for updates, security, and hacks.<\/p><\/li>

                                                                  • The Client indemnifies<\/strong> the Service Provider against third-party claims relating to Client-provided content or use of the Deliverables.<\/p><\/li><\/ul>

                                                                    Article 12a \u2013 Warranties<\/h1>

                                                                    • Unless expressly agreed in writing<\/strong>, no warranties<\/strong> are provided regarding performance, compatibility, accessibility, or specific (commercial) results.<\/p><\/li>

                                                                    • The Service Provider\u2019s obligations are best-efforts obligations<\/strong>; any warranty arises only by explicit written<\/strong> agreement.<\/p><\/li><\/ul>

                                                                      Article 12b \u2013 Client\u2019s Liability<\/h1>

                                                                      • If several clients are party to the Agreement, they are jointly and severally<\/strong> liable for all obligations.<\/p><\/li>

                                                                      • If the Client is a legal entity, the signatory warrants<\/strong> he\/she is duly authorised<\/strong>. Losses due to unauthorised representation<\/strong> are for the account of the Client\/signatory.<\/p><\/li><\/ul>

                                                                        Article 13 \u2013 Retention of Title & Right of Retention<\/h1>

                                                                        • Retention of title<\/strong>: all (digital) Deliverables, accounts, credentials, configurations, and transfer\/migration actions remain the property\/under the control of the Service Provider until full payment<\/strong>.<\/p><\/li>

                                                                        • Right of retention (lien)<\/strong>: the Service Provider may withhold<\/strong> files, source code, accounts, or migrations while invoices remain unpaid<\/strong>.<\/p><\/li>

                                                                        • Also applies in case of the Client\u2019s bankruptcy\/suspension of payments<\/strong>.<\/p><\/li><\/ul>

                                                                          Article 14 \u2013 Intellectual Property<\/h1>

                                                                          • All rights to Deliverables remain with the Service Provider until full payment<\/strong> has been received.<\/p><\/li>

                                                                          • After payment: transfer of copyright in client-specific Deliverables<\/strong>, excluding:<\/p>

                                                                            • open-source<\/strong> (external licences),<\/p><\/li>

                                                                            • pre-existing methodologies<\/strong>,<\/p><\/li>

                                                                            • generic code\/frameworks\/snippets<\/strong>.<\/p><\/li><\/ul><\/li>

                                                                            • The Service Provider retains the right to reuse<\/strong> non-client-specific modules\/libraries.<\/p><\/li>

                                                                            • Until transfer: only a temporary, limited licence<\/strong> for internal use, conditional upon full payment.<\/p><\/li><\/ul>

                                                                              Article 15 \u2013 Privacy & GDPR<\/h1>

                                                                              Roles<\/strong><\/p>

                                                                              • Service Provider = processor<\/strong>;<\/p><\/li>

                                                                              • Client = controller<\/strong>.<\/p><\/li><\/ul>

                                                                                Service Provider<\/strong><\/p>

                                                                                • acts solely on written instructions<\/strong>,<\/p><\/li>

                                                                                • implements technical\/organisational<\/strong> security measures,<\/p><\/li>

                                                                                • engages sub-processors<\/strong> only with consent and under equivalent obligations.<\/p><\/li><\/ul>

                                                                                  Client<\/strong><\/p>

                                                                                  • responsible for the lawfulness<\/strong> of data supplied (e.g., mailing lists).<\/p><\/li><\/ul>

                                                                                    Data breaches<\/strong><\/p>

                                                                                    • notification to the Client within 48 hours<\/strong>.<\/p><\/li><\/ul>

                                                                                      After termination<\/strong><\/p>

                                                                                      • personal data will be deleted<\/strong> or, upon request, returned securely<\/strong>.<\/p><\/li><\/ul>

                                                                                        Article 16 \u2013 Confidentiality & Non-Solicitation<\/h1>

                                                                                        • Parties keep confidential information<\/strong> confidential.<\/p><\/li>

                                                                                        • Penalty<\/strong> for breach: \u20ac5,000 per breach<\/strong> + \u20ac500 per day<\/strong> the breach continues (without prejudice to additional damages).<\/p><\/li>

                                                                                        • Non-solicitation<\/strong>: the Client may not engage the Service Provider\u2019s staff\/fixed freelancers<\/strong> within 12 months<\/strong> after the end of cooperation, unless agreed in writing<\/strong>.<\/p><\/li><\/ul>

                                                                                          Article 17 \u2013 Expedite Rates<\/h1>

                                                                                          • Work that must be performed within 24 hours<\/strong> = expedite<\/strong>.<\/p><\/li>

                                                                                          • Expedite rate<\/strong>: \u20ac150\/hour<\/strong> excl. VAT.<\/p><\/li><\/ul>

                                                                                            Article 18 \u2013 Licences & Third-Party Tools<\/h1>

                                                                                            • Costs for software\/plugins\/themes<\/strong>, stock<\/strong>, fonts<\/strong>, and tools are for the Client<\/strong>, unless agreed otherwise.<\/p><\/li>

                                                                                            • Upon termination, shared licences<\/strong> lapse; the Client must arrange replacements.<\/p><\/li>

                                                                                            • The Service Provider is not liable for malfunctions, updates, or security issues<\/strong> in third-party tools.<\/p><\/li><\/ul>

                                                                                              Article 19 \u2013 Portfolio, Credits & Promotion<\/h1>

                                                                                              • The Service Provider may use the Client\u2019s name\/logo<\/strong>, screenshots<\/strong>, and case materials<\/strong> in its portfolio, presentations, social media, and marketing.<\/p><\/li>

                                                                                              • The website footer will by default state: \u201cWeb design by Online Heroes\u201d<\/strong> (with backlink), unless agreed in writing<\/strong> otherwise.<\/p><\/li>

                                                                                              • Promotional commitment with discount (optional)<\/strong>: where a discount<\/strong> is agreed, after delivery the Client will post at least 1 Instagram feed post<\/strong>, multiple stories<\/strong>, and 1 LinkedIn post<\/strong>, mentioning\/tagging the Service Provider.<\/p><\/li><\/ul>

                                                                                                Article 20 \u2013 Client Suspension & Set-off<\/h1>

                                                                                                • Suspension<\/strong> by the Client is excluded<\/strong>.<\/p><\/li>

                                                                                                • Set-off<\/strong> against counterclaims is excluded<\/strong>.<\/p><\/li>

                                                                                                • This is without prejudice to the Service Provider\u2019s right to suspend (Arts. 4 & 13).<\/p><\/li><\/ul>

                                                                                                  Article 21 \u2013 Assignment of Rights<\/h1>

                                                                                                  • Assignment of rights\/obligations<\/strong> by the Client requires the Service Provider\u2019s prior written consent<\/strong>.<\/p><\/li>

                                                                                                  • The Service Provider may engage third parties<\/strong> for performance.<\/p><\/li><\/ul>

                                                                                                    Article 22 \u2013 Items On-Site & Insurance<\/h1>

                                                                                                    • Items\/materials of the Service Provider at the Client\u2019s premises must be properly insured<\/strong> by the Client against loss\/theft\/damage.<\/p><\/li>

                                                                                                    • The policy<\/strong> and terms will be made available for inspection<\/strong> upon request.<\/p><\/li>

                                                                                                    • Damage to the Service Provider\u2019s items on the Client\u2019s premises is for the Client\u2019s account<\/strong>.<\/p><\/li><\/ul>

                                                                                                      Article 23 \u2013 Electronic Communication & Signature<\/h1>

                                                                                                      • Electronic signatures<\/strong> (eIDAS) are legally valid<\/strong> and equivalent to handwritten signatures.<\/p><\/li>

                                                                                                      • Notices by email<\/strong> are deemed written<\/strong>.<\/p><\/li><\/ul>

                                                                                                        Article 24 \u2013 Force Majeure<\/h1>

                                                                                                        • Force majeure includes: natural disasters, fire, pandemics, strikes, network\/datacentre outages, government measures<\/strong>, and failures by third parties.<\/p><\/li>

                                                                                                        • Obligations are temporarily suspended<\/strong> during force majeure.<\/p><\/li>

                                                                                                        • If force majeure lasts more than 30 days<\/strong>, either party may terminate without liability<\/strong>.<\/p><\/li><\/ul>

                                                                                                          Article 25 \u2013 Termination<\/h1>

                                                                                                          • The Client may terminate in writing<\/strong> at any time; settlement pro rata<\/strong> progress, with a minimum of 50%<\/strong> of the agreed amount.<\/p><\/li>

                                                                                                          • Mid-term termination for material breach<\/strong> that is not cured within a reasonable period<\/strong> after written notice of default<\/strong>.<\/p><\/li>

                                                                                                          • Termination of hosting: the Client is solely responsible<\/strong> for timely downloading\/migrating<\/strong> data\/emails\/backups; after termination the Service Provider is not required to retain data.<\/p><\/li><\/ul>

                                                                                                            Article 26 \u2013 Amendments to These Terms<\/h1>

                                                                                                            • The Service Provider may amend<\/strong> these Terms:<\/p>

                                                                                                              • minor<\/strong> changes \u2192 effective immediately<\/strong>;<\/p><\/li>

                                                                                                              • material<\/strong> changes \u2192 communicated in advance<\/strong>.<\/p><\/li><\/ul><\/li><\/ul>

                                                                                                                Article 27 \u2013 Governing Law & Jurisdiction<\/h1>

                                                                                                                • Governed exclusively by Dutch law<\/strong>.<\/p><\/li>

                                                                                                                • Competent court<\/strong>: District Court of Zeeland-West-Brabant<\/strong>, location Breda<\/strong>.<\/p><\/li><\/ul>

                                                                                                                  Article 28 \u2013 Language & Interpretation<\/h1>

                                                                                                                  • These Terms are translated from Dutch <\/strong>to English<\/strong>.<\/p><\/li>

                                                                                                                  • In multilingual versions, the Dutch text prevails<\/strong> in case of interpretive differences.<\/p><\/li><\/ul><\/div><\/div><\/div><\/div>
